Objective:

To provide a pragmatic perspective on various sources of private funds for the Corporates specially Small and Medium Enterprises (SMEs) with special focus on funding from Venture Capital/Private Equity (VC/PE) firms. This programme is the product of faculty’s real life experience of working with corporates on fund raising from PEs/VCs.

Training Programme would focus on:

• Make Corporates think and plan their funding needs
• Understand the perspective of PEs/VCs- and what do they look for in their portfolio companies - how do they analyze businesses before investing
• Understand various financial instruments PEs/VCs invest money with and underlying rational
• How do PEs/VCs value businesses

Course Content :

• Various sources of finance for the companies – Public and Private Markets
• Consideration in various financial instruments – Equity, Debt, Preference shares, Convertibles etc.
• Structure of VCs/PEs and their mandate
• Focus of VCs/PEs – Their thought process on financing companies
• Perspective of VCs/PEs while providing funding
• Considerations of companies while sourcing PE/VC funding
• Preparation of information memorandum
• Financial data – important ratios and sensitivity analysis
• A typical deal process and time lines
• Valuation approaches - Discounted cash flow, Relative Valuation etc.
• Legal framework and exit routes

Target audience:

Entrepreneurs, start-up ventures, micro businesses, small and medium size companies, practicing chartered accountants/company secretaries/cost and work accountants, management/business consultants, industry associations etc.

Faculty: Mr. Manish Bansal

Manish Bansal is part of Investment Management team at Jeetay Investments Pvt. Ltd., a portfolio management firm (registered with SEBI). He has been working with corporates on Business Valuations and Strategies for Value Enhancement. He has also been representing corporates in their Fund Raising exercise from PEs and VCs. He has 15 years of experience in the Financial Services Industry. He has worked with Citibank, Securities and Exchange Board of India (SEBI) and Institute of Chartered Financial Analysts of India (ICFAI).

Academically, he has done his MS in Business Administration from University of Maryland, U.S. He also holds other degrees like MBA, CFA and Licentiate in General Insurance.

He has co-authored a book on derivatives titled “Derivatives and Financial Innovations” published by McGraw-Hill. He also has several articles to his credit, on different dimensions of Financial Markets, published by various publications.

He has been a speaker in various seminars conducted by international agencies like Metal Bulletin, London; Futures and Options World, London and domestic Institutions like Bombay Stock Exchange (BSE), Multi Commodity Exchange (MCX), Credit Rating Information Services of India Ltd. (CRISIL), Dun & Bradstreet (DnB), Interconnected Stock Exchange of India, and various industry bodies like FICCI, ASSOCHAM etc.

He also serves as visiting faculty to various Management Institutes including Indian School of Business (ISB), Hyderabad, Indian Institute of Management (IIM), Bangalore, Indian Institute of Technology (IIT), Mumbai, Indian Institute of Foreign Trade (IIFT), Delhi, National Institute of Financial Management (NIFM), Delhi, National Institute of Securities Market (NISM), N. M. School of Management etc.
